1. Acceptance of These Terms

Welcome to the website of the National Association for Energy and Commerce (“NAEC,” “we,” “us,” or “our”), operated under our public brand, Power America Forward™, at poweramericaforward.org (the “Site”). These Conditions of Use (the “Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. About the Site

The Site provides information about NAEC and our research, programs, events, and membership, along with related resources. NAEC is a nonprofit business league organized under the laws of the State of Utah.

3. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date shown above. Your continued use of the Site after the changes take effect means that you accept the updated Terms. We encourage you to review these Terms periodically.

4. Permitted Use of the Site

You may use the Site for lawful personal and organizational purposes that are consistent with these Terms. You agree not to use the Site in any way that could damage, disable, or impair it, or that could interfere with anyone else's use of it.

5. Intellectual Property

Unless we note otherwise, the content on the Site, including text, research, reports, graphics, logos, images, and design (the “Content”), is owned by or licensed to NAEC and is protected by copyright, trademark, and other laws. “National Association for Energy and Commerce,” “Power America Forward™,” and the associated logos are trademarks or service marks of NAEC. You may view, download, and print Content for your own noncommercial and informational use, as long as you keep all copyright and other proprietary notices intact. You may not reproduce, distribute, modify, republish, or create derivative works from the Content for commercial purposes without our prior written permission.

6. Prohibited Conduct

When using the Site, you agree not to do any of the following: violate any applicable law or regulation; infringe the rights of others; upload or transmit viruses, malicious code, or other harmful materials; attempt to gain unauthorized access to the Site or its systems; use automated means to access or collect data from the Site without our permission; impersonate any person or misrepresent your affiliation; or use the Site to harass, threaten, or harm others.

7. Membership and Accounts

Some areas of the Site, including member resources, may require registration or membership. If you create an account, you are responsible for keeping your login information confidential and for all activity that occurs under your account. Membership itself is governed by NAEC's Bylaws and applicable membership policies, which are separate from these Terms.

8. Information You Submit to Us

If you submit information, comments, or other materials to us through the Site, for example by completing a form or contacting us, you confirm that you have the right to do so, and you grant NAEC a nonexclusive, royalty-free right to use that material in connection with our operations, consistent with our Privacy Notice. Please do not submit confidential or proprietary information that you do not wish us to use.

10. No Professional Advice

The Content on the Site, including our research, reports, and analysis, is provided for general informational purposes only. It is not legal, financial, investment, tax, or other professional advice, and you should not rely on it as such. Please consult a qualified professional before acting on any information you find on the Site.

11. Disclaimer of Warranties

The Site and its Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or noninfringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the Content is complete, current, or accurate.

12. Limitation of Liability

To the fullest extent permitted by law, NAEC and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, use, or goodwill, that arises out of or relates to your use of, or inability to use, the Site or its Content, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site will not exceed one hundred dollars.

13. Indemnification

You agree to indemnify and hold harmless NAEC and its directors, officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, that arise out of your use of the Site or your violation of these Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Utah, and you consent to the jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Notice, make up the entire agreement between you and NAEC regarding your use of the Site.
